TERMS AND CONDITIONS
These General Conditions of Sale govern all the purchase transactions between BASE PIZZA SRL (hereinafter, the “Company”) and its professional customers engaged in the sale and/or supply of food products.
These General Conditions of Sale are deemed to be known by the Customers, pursuant to and for the purposes of Article 1335 of the Italian Civil Code, by means of their publication on www.basepizzasrl.it. They will have an indefinite duration, without prejudice to any modifications and/or changes thereto made by Base Pizza and made known to the Customers via www.basepizzasrl.it, or resulting from an express contractual stipulation agreed in writing between the parties. The nullity, annulment or ineffectiveness of one or more articles contained in the General Conditions of Sale will not render ineffective or non-valid the remaining clauses which, therefore, will remain fully in force.
These General Conditions are applicable to B2B online sales of food products, such as pizza/focaccia/focaccina/pucce/crepe base. Customers declare that they are natural or legal persons making use of the aforementioned goods for subsequent marketing rather than for final consumption.
Customers are invited to carefully read and store these General Conditions of Sale, according to their preferred methods. In the event of changes to the General Conditions of Sale, the General Conditions published on the Site at the time the Customer submits an order are applicable to that order.

Order and acceptance:
By sending a purchase order electronically, Customers unconditionally accept and undertake to comply with the general and payment conditions described below, declaring that they have read and accept all the information provided to them, also acknowledging that Base Pizza Srl shall not be bound to different conditions unless previously agreed in writing. Purchase orders must have a value of not less than € 150.00. Purchase orders for lower values will not be accepted. Purchase orders to be submitted by Customers must be accurately filled out and include all the relevant ID information: name, registered office, VAT number, email and place of order delivery. Any changes to a Customer ID information must be promptly notified to Base Pizza Srl so that its database can be duly updated. Base Pizza Srl will send the Customer an order confirmation email and information on the payment due for the supply. Incomplete, inaccurate and/or anomalous and/or unpaid orders will not be processed.
Product description and availability:
Each product is described in detail in the PRODUCTS tab. The data sheet of each product includes: ingredients, storage methods, best be date, allergen note and any other relevant information. By submitting an order, Customers expressly declare that they carefully read all the aforementioned instructions, thereby expressly relieving Base Pizza Srl from any possible issues resulting from the administration of the ingredients to themselves or to others. Batch number and expiry date are printed on the product bag/carton. Each product package contains ingredients, storage methods, best by date, note on allergens and other relevant information. Base Pizza Srl will not be responsible in any way for the temporary or permanent unavailability of one or more products. In the event of unavailability of the requested products, Base Pizza Srl undertakes to promptly inform Customers, offering alternative products or adjusting the amount due, and adding the temporarily unavailable stock to a subsequent order.
Liability:
Base Pizza Srl guarantees compliance with the cold chain requirements and, in general, with the quality standards relating to the products, until the time of delivery to the place indicated in the order. To this end, the bill of lading or delivery receipt without annotations or claims will serve as official proof of delivery.
Applicable law and Jurisdiction:
This Agreement is governed by Italian law. Any dispute that may arise in relation to the application and interpretation of this Agreement entered into online through the site, is subject to Italian jurisdiction on the basis of current legislation. Jurisdiction for all matters hereunder falls to the Court of Bari.
